End-to-end legal representation on the acquisition or disposal of a small business (enterprise value up to £500,000), from heads of terms through to completion. I handle the entire transaction, coordinating with the other side’s lawyers and any specialists needed. Suitable for owner-managed business sales, small company buyouts, and straightforward asset purchases.
What’s included:
• A consultation to understand the transaction, your objectives, and the timetable.
• Review or drafting of heads of terms.
• Drafting or reviewing the principal transaction document (SPA or APA).
• Drafting or reviewing the disclosure letter.
• Handling the completion process and post-completion matters.
• Coordination with the other side’s solicitors throughout.
• Regular updates and advice on strategy at each stage.
• Up to two rounds of revisions to the principal documents.

• Transactions with an enterprise value exceeding £500,000 (I can quote for larger deals).
• Handling client money (I use a law firm with which I have a consultancy arrangement if this is necessary, in which case the engagement will require a different approach which we can discuss).
• Specialist property, pension, or environmental advice (coordinated with your approval and quoted separately).
• Regulatory or competition filings.
• Post-completion disputes.
