•       Advice on purchase price mechanics (including any deferred, contingent, or earn-out elements), conditions precedent, warranties, indemnities, limitations on claims, restrictive covenants, and completion mechanics.

•       A clear written summary of key risks, negotiation points, and practical recommendations.

•       A follow-up call or email exchange to discuss the findings.

What’s not included:

•       SPAs exceeding 40 pages (I can quote for longer or more complex agreements).

•       Review of the disclosure letter (see Disclosure Letter — Drafting).

•       Review of ancillary documents (e.g. tax deed, property documents, employment matters).

•       Negotiation with the other party beyond the scope described above.

•       Tax advice (including VAT, corporation tax, income tax, capital gains tax, and stamp duty). If specialist tax advice is needed, I can recommend a suitable accountant or tax adviser.
